Bili Terms of Service

These Terms of Use (“Terms”) apply to your use of Bili and Bili-AI’s website (“Services”), for business purposes.  By accessing or using our Services or Website, you agree to these Terms. If you do not agree, do not use our Services or Website.

Our Privacy Policy explains how we collect and use personal information. Although it does not form part of these Terms, it is an important document that you should read.

1. Definitions

1.1. "Services" refers to the B2B artificial intelligence chatbot platform and related tools provided by Bili-AI.
1.2. "Website" refers to www.bili-ai.co
1.3. "User" refers to the individual or entity using the Services.
1.4. "Personal Data" refers to any information relating to an identified or identifiable individual, as defined under the General Data Protection Regulation (GDPR).

2. Eligibility

You represent and warrant that:

  • You are at least 18 years old.

  • You have the legal authority to enter into these Terms on behalf of your company or organization.

3. Services

3.1. Service Access: The Services are provided on a subscription basis as outlined in your contract or subscription plan.
3.2. License: We grant you a limited, non-exclusive, non-transferable license to access and use the Services for business purposes.
3.3. Restrictions: You shall not:

  • Use the Services for unlawful purposes.

  • Reverse engineer, modify, or distribute any part of the Services without prior written consent.

4. User Obligations

4.1. You must ensure the proper use of the Services in compliance with these Terms and all applicable laws, including but not limited to GDPR and the UK Data Protection Act 2018.
4.2. You are responsible for:

  • Ensuring the accuracy and legality of any data inputted into the chatbot.

  • Maintaining the confidentiality of your login credentials.

5. Data Protection and Privacy

We process Personal Data in accordance with our Privacy Policy and applicable data protection laws (e.g., GDPR, UK Data Protection Act 2018).

6. Fees and Payment

6.1. Fees for the Services are outlined in your subscription plan or contract.
6.2. Unless stated otherwise in this Agreement, a Service Order, Statement of Work, or Supplemental Terms, all Subscription Charges are due in full at the start of the Subscription Term or, for Deployed Associated Services, at the time of purchase, subscription, or deployment. Subscriber must provide valid, up-to-date payment information and promptly update any changes (e.g., billing address or credit card expiration). If payment is not made or if payment details are not updated upon request, Bili may suspend access to the Services.

7. Intellectual Property

7.1. All intellectual property rights related to the Services and Website are owned by Bili-AI or its licensors.
7.2. You retain all rights to your data submitted to the chatbot, subject to the rights granted to us to provide the Services.

8. Termination

8.1. Termination by User: You may terminate these Terms by ceasing use of the Services and providing written notice to us.
8.2. Termination by Us: We may suspend or terminate your access to the Services if you breach these Terms.
8.3. Upon termination, all rights granted to you under these Terms will cease immediately.

9. Limitation of Liability

9.1. To the extent permitted by applicable law, neither Bili-AI nor Our shareholders, employees, affiliates, licensors, agents, suppliers, and service providers will be liable:

  • In case of a Force Majeure Event (as defined in Section 14 of these Terms of Use),

  • In case of temporary unavailability of the Services (a) for maintenance purposes, including but not limited to, to fix anomalies, bugs or errors, to launch new or improved features or Services, or to address immediate security concerns, or (b) in case We suspended Your Account,

  • In relation to third-party content or websites linked or referred to on the Platform,

  • For any cause not attributable to Bili-AI,

  • For Your use of Your User Data,

  • When You share Your Conversations with third-parties,

  • For your breach of this Agreement,

  • For any loss of profits, income, revenue, business opportunities, loss or corruption of data or information,

  • For any failure to realize expected revenues or savings, loss or damage to goodwill, pure economic loss or other economic or pecuniary loss (regardless of whether any of these type of loss or damage are direct, indirect, special or consequential), or

  • For any indirect, special, incidental, punitive, exemplary, incidental or consequential damages of any kind, even if informed of the possibility of such damages in advance.

9.2 To the extent permitted by law, our liability for any claims arising from the use of the Services is limited to the fees paid by you in the [last 12 months].

10. Indemnification

You agree to indemnify and hold Bili-AI, its officers, directors, and employees harmless from any claims, liabilities, or damages arising out of your use of the Services.

11. Dispute Resolution

11.1. Governing Law: These Terms shall be governed by the laws of England and Wales.
11.2. Dispute Resolution: Any disputes shall be resolved through arbitration or mediation, unless prohibited by law.

12. Amendments

We reserve the right to modify these Terms. Changes will be notified via email or posted on the Website. Continued use of the Services constitutes acceptance of the revised Terms.

13. Miscellaneous

13.1. Entire Agreement: These Terms constitute the entire agreement between you and us.
13.2. Severability: If any provision is found to be unenforceable, the remaining provisions will remain in effect.
